You're signing up with a beta invite as . Please read and agree to the terms below before continuing to checkout.
VendorFlow is a software product still in active beta development. You are being offered access at a substantially reduced price — $5 instead of the regular $199/year — specifically because you are agreeing to use an unfinished, evolving product and help us improve it.
You understand and agree that VendorFlow is beta software and may contain bugs, errors, or incomplete features, and may behave unexpectedly, incorrectly, or not at all. VendorFlow may be unavailable, interrupted, changed, or discontinued at any time, without notice, during the beta period. Nothing about your experience during beta reflects a promise of how the finished, generally-available product will look or behave.
VendorFlow automates tasks like sending emails to parents/families, sending invoices and communications to charter schools, calculating balances, and tracking payments. You are solely responsible for reviewing and verifying the accuracy of anything VendorFlow prepares, sends, or calculates before relying on it or before it reaches a third party, including invoices, invoice amounts and numbering, balances, payment records, certificate/reimbursement tracking, and any reminders or automated communications VendorFlow generates. You agree that VendorFlow may make mistakes in any of the above, and that catching those mistakes before they cause a problem is your responsibility, not ours.
You understand that setting up and using VendorFlow during the beta period may take you more time, not less, than if you had simply continued organizing your business and communicating with families and charter schools using your own existing methods. You accept this as a real possibility and a risk you are knowingly taking on, in exchange for the reduced price and early access.
In exchange for your discounted access, you agree to make a good-faith effort to report bugs and share honest feedback about ease of use and your overall experience. Any feedback you provide may be used by VendorFlow to improve the product, free of charge and without any obligation to credit or compensate you.
This is a beta program, not a paid support contract. You agree that you will not demand refunds, compensation, damages, continued access, specific fixes, specific features, or any particular level of service from VendorFlow as a condition of your participation, beyond what this Agreement and our published Terms of Service already provide. VendorFlow may modify, pause, or end the beta program, or your participation in it, at any time.
To the fullest extent permitted by law, VendorFlow is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. We do not warrant that VendorFlow will be error-free, uninterrupted, or secure during the beta period.
To the fullest extent permitted by law, VendorFlow and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of VendorFlow during the beta period. To the extent any liability cannot be fully disclaimed under applicable law, our total liability to you arising out of this Agreement or your use of VendorFlow during the beta period is limited to the amount you actually paid for your beta subscription (i.e., $5).
To the fullest extent permitted by law, you release, and agree to hold harmless, VendorFlow and its owner from any and all claims, demands, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the beta program, including any errors, omissions, delays, or miscommunications in emails or invoices VendorFlow sends on your behalf — except to the extent such claims arise from our own fraud, willful misconduct, or gross negligence.
You agree to indemnify and hold VendorFlow and its owner harmless from any third-party claim arising from your failure to review or verify VendorFlow-generated communications, invoices, or records before relying on them, or from your own violation of this Agreement or applicable law.
You remain solely responsible for your own business's compliance with all applicable laws, contracts, and charter school agreements, including anything related to student and family data privacy. VendorFlow does not represent that beta use satisfies your own legal or contractual obligations.
Any non-public information you learn about VendorFlow's beta features, pricing, or roadmap should be treated as confidential until VendorFlow makes it public itself.
You and VendorFlow are independent parties. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.
This Agreement remains in effect for as long as you participate in the beta program. Either party may end your participation at any time, without liability, though the disclaimers, releases, and limitations survive that ending.
This Agreement, together with VendorFlow's Terms of Service and Privacy Policy, is the entire agreement between you and VendorFlow regarding the beta program.
This Agreement is governed by the laws of the State of California.
By checking the box below and continuing, you confirm you have read and understood this entire Agreement, understand you are testing beta software that may cost you time rather than save it, agree to check VendorFlow's work for accuracy, agree to provide honest feedback, will not demand refunds or guaranteed service, and accept the release, hold-harmless, and limitation-of-liability terms above.
